Terms of Service

1. Who we are and what the service is

PenaltyDesk (“we”, “us”) is a trading name of [TODO-LEGAL-REVIEW: legal entity, license number, emirate]. We provide a document preparation service only: on the basis of information you supply, we draft penalty waiver or reconsideration request documents (an Arabic submission letter, an English mirror copy, an evidence checklist, and a filing guide). By paying, you accept these terms.

2. What the service is not

We are not a registered Tax Agent, law firm, accountant, or tax advisor. We do not provide tax, legal, or professional advice; we do not recommend positions, strategies, or courses of action; we do not represent you before the Federal Tax Authority (“FTA”) or any other body; and we do not submit anything on your behalf. All submissions are made by you, through your own EmaraTax account, at your own decision. If you are unsure whether or how to challenge a penalty, you should consult an FTA-registered Tax Agent or lawyer before purchasing.

3. No guarantee of outcome

Decisions on penalties, waivers, and reconsideration requests rest solely with the FTA. We make no representation, warranty, or promise of any kind as to the outcome of any submission. What we undertake to deliver is the document package described in Section 1, prepared with reasonable skill and care.

4. Your information and your responsibilities

Documents are drafted exclusively from information you provide. You warrant that: (a) all information and documents you supply are true, accurate, and complete; (b) you are authorized to act for the company named in the intake; and (c) you will review every document in full before signing or submitting it. The delivered documents are drafted in your company's name and voice — by submitting them, you adopt their contents as your own statement. We accept no responsibility for errors originating in the information you supplied or for changes you make to the documents after delivery. You agree to indemnify us against claims and losses arising from inaccurate or incomplete information you supplied, or from your use or submission of the documents. 5. Delivery time and how the clock works

Delivery targets are expressed in business days (Monday–Friday, excluding UAE public holidays). The delivery period starts when we receive a complete intake form, and is suspended while we await your response to a clarification or information request; it resumes when your response arrives. Delivery means sending the document package to the email address you provided. If we fail to deliver within the promised period, your remedy is set out in Section 7.

6. Statutory deadlines remain yours

Deadlines for submissions to the FTA (including the 40-business- day reconsideration window) are your sole responsibility. Our deadline calculator and any dates we mention are estimates for convenience only — the dates on your FTA notice govern. We may decline an order where, in our assessment, too little time remains to prepare and submit responsibly; in that case Section 7 applies.

7. Fees and refunds

Fees are fixed, stated at checkout, and payable in advance. We issue a full refund(to the original payment method) if: (a) we decline your order at intake review — for example because your deadline has passed or your case needs a Tax Agent rather than a document service; (b) you appear to qualify for a free FTA route covering your penalty, in which case we will tell you so; or (c) we fail to deliver the document package at all. If we deliver later than promised, we will offer a partial refund proportionate to the delay. Refunds are not available on the basis of the FTA's decision or of drafts already delivered. One round of corrections to delivered drafts is included; new drafting caused by materially changed facts is a new order.

8. Limitation of liability

To the maximum extent permitted by law: our total aggregate liability arising out of or in connection with the service is limited to the fees you paid for the order concerned; and we are not liable for indirect or consequential loss, loss of profit, business, or opportunity, or for penalties, interest, or other amounts imposed by the FTA or any authority. 9. Data and confidentiality

We use the information you provide solely to prepare your documents and communicate with you about your order, we treat it as confidential, and we do not sell or share it except with the reviewers who work on your documents under the same confidentiality. We never ask for your EmaraTax, UAE PASS, or other login credentials. Case files are retained for up to [TODO-LEGAL-REVIEW: 6 months] and deleted earlier on request.

10. Intellectual property

Our templates, checklists, and guides remain our property. You receive a license to use the delivered documents for your own submission and records. You may not resell or republish them.

11. Force majeure, governing law, changes

We are not responsible for delay or failure caused by events beyond our reasonable control. These terms are governed by the laws of the United Arab Emirates; disputes are subject to the courts of [TODO-LEGAL-REVIEW: emirate / DIFC opt-in?].
